Members Approve Constitution Changes at Special General Meeting No. 17
12 Jun 2026
Learning Environments Australasia members have approved a series of important governance amendments following Special General Meeting No. 17, held on 14 May 2026 during the 2026 UNLEASH Conference in Perth.
The changes form part of the Executive's ongoing strategic planning and governance improvement program, ensuring the organisation remains well-positioned to support members, chapters and future growth.
All proposed constitutional amendments were passed by members, including:
- Renaming the Secretary role to Strategic Governance Director, with all existing responsibilities remaining unchanged.
- Requiring all Directors to be current LEA members.
- Extending International Director terms from three years to four years.
- Clarifying that a Director ceases to hold office if they cease to be a member.
- Confirming that the Treasurer acts as the Company's secretary for the purposes of the Corporations Act.
- Removing redundant constitutional provisions to improve clarity and governance consistency.
Members also approved a one year extension to the current terms of the Treasurer and Strategic Governance Director, with both positions now concluding at the 2027 Annual General Meeting. This one off amendment will help stagger the conclusion of Executive terms and support leadership continuity by reducing the number of Executive positions becoming vacant in the same election cycle.
The meeting also included updates from Chair Ros Marsland, Treasurer Felicity Lewis, International Director Deb O'Riley, and Association for Learning Environments Chair Tim McClure, who provided insights into LEA's strong financial position, international engagement activities, and the proposed merger between A4LE and EDmarket.
Learning Environments Australasia thanks all members who participated in the meeting and contributed to these important decisions that will help strengthen the organisation's governance and long term sustainability.
